Aster DM Subsidiaries KEL and SHSPL to Amalgamate

Aster DM Quality Care Ltd announced that its step-down subsidiaries, KIMSHEALTH Executive Leisure Private Limited (KEL) and Spiceretreat Hospitality Services Private Limited (SHSPL), have approved a Scheme of Amalgamation. KEL will be amalgamated with SHSPL, with the appointed date set for April 1, 2026. The transaction is between wholly-owned subsidiaries and is considered a related party transaction, exempted from arm's length requirements. The rationale includes simplifying group structure, enhancing operational efficiencies, and optimizing resource utilization. No cash consideration will be paid; instead, SHSPL will issue shares to KEL shareholders based on a valuation report. This amalgamation is not expected to change Aster DM Quality Care Ltd's shareholding pattern.
