eClerx Services Acquires 2% Stake in US Subsidiary Personiv Eclipse

eClerx Services Limited's Board of Directors has approved the acquisition of approximately 2% equity shareholding in its step-down subsidiary, Personiv Eclipse Inc., USA. This stake is being acquired from eClerx LLC, a wholly-owned subsidiary, for a cash consideration of US$1,639,121.40. The acquisition is an intra-group transaction aimed at providing working capital to eClerx LLC. Post-acquisition, eClerx Services will hold approximately 2% directly and 98% through eClerx LLC, resulting in no change in the company's aggregate ownership. The transaction is on an arm's-length basis, supported by a valuation report.
