MPS Ltd Amends Shareholder Agreement for Subsidiary MPSi

MPS Ltd has entered into an Amendment to the Share Subscription and Shareholders' Agreement (SSSHA) concerning its material subsidiary, MPS Interactive Systems Limited (MPSi). The amendment, approved by the Board of Directors on August 8, 2026, permits Mr. Rodney Charles Beach to transfer his shareholding in MPSi to the Beach Trust. The Beach Trust, established in Victoria, Australia, will succeed Mr. Beach's rights and obligations under the SSSHA upon transfer and execution of a deed of adherence. This amendment does not involve fresh issuance of shares or monetary consideration and does not alter MPSi's shareholding structure.
