Prior to the sale, K G Balakrishnan and Persons Acting in Concert (PACs) held 1,63,93,016 shares (64.00%). Post-sale, their holding has reduced to 1,50,58,956 shares (58.74%). The total equity share capital of the company remains unchanged at 2,56,37,825 shares.

B Sriramulu, a promoter/promoter group member, has acquired 12,50,000 equity shares in KG Denim Limited through an off-market inter-se transfer between promoters. This acquisition increases his direct holding. Prior to this, B Sriramulu held 13.49% and PACs held 58.74%. After the acquisition, B Sriramulu's direct holding is 47,08,659 shares, while the PACs' holding remains 1,50,58,956 shares. The total share capital of the company is 2,56,37,825 equity shares. The acquisition date was June 24, 2026.

KG Denim Ltd's board approved the audited standalone and consolidated financial results for the quarter and year ended March 31, 2026. They also approved the sale of non-factory vacant land at Karamadai, Coimbatore, subject to shareholder approval via special resolution. Additionally, M/s Mohan & Venkataraman were appointed as internal auditors for FY 2026-27. The board also approved a postal ballot to obtain shareholder approval for the land sale.

Mr. Balaji holds an Honours Degree in Commerce and is an Associate Member of several professional institutes. He brings around 30 years of experience in finance, accounts, costing, legal, and secretarial functions.

KG Denim Ltd has scheduled a Board of Directors meeting on May 12, 2026, to consider and approve the appointment of Mr. M Balaji, the Company Secretary, as the Chief Financial Officer (CFO) and Key Managerial Personnel (KMP). This decision follows the resignation of Mrs. Ramaprabha S as the Chief Financial Officer. The company has also posted the notice on its website as per Regulation 46 of SEBI guidelines.
