Invesco Mutual Fund has acquired an additional 2.0255% shares in Sanghi Industries Ltd, bringing their total holding to 7.0826%. This acquisition was made in accordance with Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011. The total equity share capital of the company remains unchanged at Rs. 2,58,32,60,000/- comprising of 25,83,26,000 equity shares of Re. 10/- each.

Sanghi Industries Ltd has announced the effectiveness of the Scheme of Arrangement with Ambuja Cements Ltd. The companies have complied with all conditions and the Scheme has become effective from March 12, 2026. The Finance Committee of Sanghi Industries Ltd has approved April 6, 2026 as the Record Date for determining the shareholders whose equity shares will stand cancelled and to whom the new equity shares of Ambuja Cements Ltd will be issued as per the Swap Ratio set out in the Scheme.

Sanghi Industries Limited has announced the effectiveness of the Scheme of Arrangement between the company and Ambuja Cements Limited. The Hon’ble National Company Law Tribunal, Ahmedabad Bench sanctioned the scheme on February 9, 2026, and the certified copy of the NCLT Order was filed with the Registrar of Companies, Ahmedabad, Gujarat on March 12, 2026. The scheme has become effective on the same date, resulting in the amalgamation of Sanghi Industries with Ambuja Cements and the dissolution of Sanghi Industries without being wound up. The Appointed Date of the Scheme is April 1, 2024, and the Record Date for determining the shareholders of the company whose equity shares will stand cancelled and to whom the new equity shares of Ambuja Cements will be issued as per the Swap Ratio set out in the Scheme is April 6, 2026.

Invesco Mutual Fund has acquired a 5.0571% stake in Sanghi Industries Ltd as of March 11, 2026. This acquisition was made through certain schemes of Invesco Mutual Fund. The total holding of Invesco Mutual Fund, including PACs, was 5.0571% of the paid-up share capital of Sanghi Industries Ltd.

Sanghi Industries Ltd has appointed Mr. Rohit Soni as an Additional Director (Non-Executive and Non-Independent) with effect from January 31, 2026. Mr. Soni is a distinguished finance leader, holding a Chartered Accountant degree and an alumnus of Harvard Business School’s General Management Program. He currently serves as Chief Financial Officer of Cement business. Previously, he served as Chief Financial Officer (CFO) at Adani New Industries Limited (ANIL) and Adani Energy Solutions Limited (AESL), where he led financial strategies and managed finances for numerous subsidiaries. He has also held several leadership positions with the Vedanta Group. His leadership excellence has been recognized with the ET Great Manager (Senior Leader) award by Economic Times and TAPMI in November 2019.

Sanghi Industries Ltd has appointed Mr. Rohit Soni as an Additional Director (Non-executive and Non-Independent) of the Company with effect from January 31, 2026. The company's Board of Directors also considered and approved the Unaudited Financial Results of the Company for the quarter and nine months ended December 31, 2025. The revenue from operations for the nine months ended December 31, 2025, was ₹ 968.70 crore, compared to ₹ 633.45 crore in the same period of the previous year. The company reported a loss before tax of ₹ 344.72 crore for the nine months ended December 31, 2025.

Sanghi Industries Ltd has announced that its Board of Directors will meet on January 29, 2026, to consider and approve the Unaudited Financial Results for the quarter and nine months ended December 31, 2025. The trading window for dealing in securities of the Company will remain closed from January 01, 2026, till the expiry of 48 hours from the date when the results are declared and made public on January 29, 2026. The Company will hold investor/analyst calls on January 30, 2026, to discuss the financial results and business outlook.

Sanghi Industries Ltd, in accordance with SEBI PIT Regulations, has announced the closure of the trading window for dealing in securities of the company. The closure will be effective from 1st January 2026 and will remain in force until 48 hours after the announcement of the un-audited financial results for the quarter ended 31st December 2025. Adani Cement and Coolbrook have announced a delivery agreement for the world's first commercial deployment of Coolbrook's RotoDynamic Heater™ (RDH™) technology at Adani Cement's Boyareddypalli Integrated Cement Plant in Andhra Pradesh, India. This marks the first industrial-scale deployment of Coolbrook's RDH™ technology, aiming to advance Adani Cement's net-zero goals achievement by 2050 and Coolbrook’s goal of cutting 2.4 billion tonnes of annual CO2 across heavy industry sectors globally. This technology will decarbonise the calcination phase - the most fossil fuel-intensive stage of cement production. The RDH™ system will be powered entirely by Adani Cement's large-scale renewable energy portfolio, ensuring that the industrial heat generated is completely emission free. This deployment is expected to directly reduce ~60,000 tonnes of carbon emissions annually with a potential to increase 10x in due course, marking a major step toward decarbonising cement manufacturing.
