Shubhalakshmi Polyesters Ltd. has acquired a 24.50% stake in Shree Hari Chemicals Export Ltd. through the conversion of Compulsorily Convertible Debentures (CCDs). The acquisition took place on 15th November 2024, with Shree Hari Chemicals Export's equity share capital increasing from Rs. 5,53,79,340 to Rs. 6,31,28,800 post-acquisition. The total voting capital of Shree Hari Chemicals Export also increased from 55,37,934 to 63,12,880 equity shares.

Shree Hari Chemicals Export Ltd. has allotted 7,74,946 (Seven Lakh Seventy-Four Thousand Nine Hundred and Forty-Six) Equity Shares of Rs. 10/- per share at a premium of Rs. 69/- per share to Shubhalakshmi Polyesters Limited. This allotment is pursuant to the conversion of equal number of Zero Coupon Compulsorily Convertible Debentures (CCDs) of Rs. 79/- each. The aforesaid equity shares of the Company shall be locked-in as per the Regulation 167 of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018. The meeting to discuss this matter was held from 5.30 p.m. to 6.00 p.m.

Shree Hari Chemicals Export Ltd has invested Rs. 4,94,99,990 in the Equity Shares of its Wholly-Owned Subsidiary, Shakambhari Dyechem Private Limited (SDPL). The investment was made by way of subscription to rights issue of SDPL. The Company has been allotted 49,49,999 fully paid-up Equity Shares of face value of Rs. 10/- each on Rights Basis at par on March 23, 2026. SDPL is engaged in the chemical business and the investment will be used for funding its capital expenditure requirements for proposed expansion.
