Pishu V Chainani has acquired 1,20,00,000 warrants in Transchem Limited through a preferential allotment. These warrants are convertible into equity shares of face value Rs. 10 each, exercisable within 18 months. This acquisition represents 19.51% of the total diluted share capital of Transchem Limited. The total equity share capital of the company before and after the acquisition remains Rs. 12,24,00,000, but the total diluted share capital increases significantly to Rs. 73,74,00,000 post-acquisition, assuming full conversion of warrants.

Transchem Limited's Preferential Issue Committee has approved the allotment of 6,15,00,000 warrants at an issue price of ₹75 per warrant. The total issue size is up to ₹461.25 crore. The company has received 25% of the warrant issue price (₹18.75 per warrant) as upfront payment. Each warrant grants the holder the right to subscribe to one equity share within 18 months. The allotment is on a preferential basis to non-promoter entities including Bakkt Opco Holdings, LLC, Mr. Pishu V. Chainani, JVS Holdings LLP, and Mr. Dhawal Jiwankumar Mehta. Post-exercise of all warrants, these allottees would collectively hold approximately 83.40% of the company's equity.

The company has received 25% of the warrant issue price (₹18.75 per warrant) as upfront payment. Each warrant grants the holder the right to subscribe to one equity share of the company within 18 months. This preferential issue is in accordance with SEBI (ICDR) Regulations and the Companies Act, 2013. The allotment is to non-promoter entities including Bakkt Opco Holdings, LLC, Mr. Pishu V. Chainani, JVS Holdings LLP, and Mr. Dhawal Jiwankumar Mehta.

Transchem Limited has received in-principle approval from BSE Limited for the preferential issue of 6,15,00,000 warrants, each with a face value of ₹10. The approval was granted via letter Ref: LOD/PREF/MV/FIP/266/2026-27 dated May 21, 2026, in accordance with Regulation 28 of the SEBI Listing Regulations. The company will now proceed with the necessary steps to complete the preferential issue.
