Mangalore Chemicals & Fertilizers Ltd (Transferor Company) has merged with Paradeep Phosphates Limited (Transferee Company) with effect from the Appointed Date 2 (01* April 2024) as of the Effective Date 2 (16™ October 2025). The Transferor Company stands dissolved without being wound up. The board of directors of the Transferee Company has fixed Friday, 31% October 2025 as the Record Date for the purpose of determining the shareholders of the Transferor Company who will be entitled to receive fully paid- up equity shares of INR 10/- each of the Transferee Company in accordance with the terms of the Scheme. As per the Scheme, 187 fully paid-up equity shares of INR 10/- each of the Transferee Company are to be issued and allotted for every 100 fully paid-up equity shares of INR 10/- each of the Transferor Company.

Zuari Maroc Phosphates Private Limited has acquired 2,90,37,000 equity shares of Mangalore Chemicals & Fertilizers Limited, which amounts to 24.50% of the company's total voting rights. This acquisition is part of a composite scheme of arrangement by and amongst Mangalore Chemicals & Fertilizers Limited, Paradeep Phosphates Limited and their respective shareholders and creditors.

Zuari Agro Chemicals Limited has sold 2,90,37,000 equity shares of Mangalore Chemicals & Fertilizers Limited on October 13, 2025. This sale is in accordance with the composite scheme of arrangement by and amongst Mangalore Chemicals & Fertilizers Limited, Paradeep Phosphates Limited and their respective shareholders and creditors.

Mangalore Chemicals & Fertilizers Ltd (MCFL) and Paradeep Phosphates Limited (PPL) have e-filed the certified copies of the sanction orders passed by the National Company Law Tribunal, Bengaluru Bench and Cuttack Bench, with the respective Registrar of Companies. The Effective Date 1 for the purposes of the Scheme is today, i.e., October 13, 2025. Part II of the Scheme deals with the amalgamation of MCFL with and into PPL on the ‘Effective Date 2’ and with effect from the ‘Appointed Date 2°. The Company will make appropriate disclosure(s) upon occurrence of ‘Effective Date 2°.

Mangalore Chemicals & Fertilizers Ltd announced that the board of directors, at its meeting held on October 07, 2025, took on record the order of the Hon’ble National Company Law Tribunal, Bengaluru Bench, dated September 24, 2025. The order sanctioned the composite scheme of arrangement amongst the Company, Paradeep Phosphates Limited and their respective shareholders and creditors. The scheme will become effective upon fulfilling certain conditions, including filing the certified copies of the sanction orders with the Registrar of Companies, Bengaluru and Cuttack.

Mangalore Chemicals & Fertilizers Ltd. has announced the creation of new encumbrances on 29% of its shares, as of September 2025, in accordance with SEBI regulations. The company has entered into a Disposable Undertaking (NDU) with State Bank of India for an aggregate amount of up to Rs. 75 crores for its energy improvement project. Additionally, the company has created pledges in favor of STCI Finance Limited for loans amounting to Rs. 5 crores and Rs. 50 crores, which will be used for group debt repayment, ICD repayments, and other permitted corporate purposes.

Mangalore Chemicals & Fertilizers Ltd has completed the acquisition of a part of Zuari Agro Chemicals’ business, including its granulated single super phosphate plant situated at Mahad, Maharashtra and certain related assets, on a slump sale basis, for a lump sum consideration of INR 72,75,00,000. The acquisition was completed on a going concern basis, effective September 30, 2025, and the company will be responsible for the operation of the business from October 1, 2025. This is in line with the approved Business Transfer Agreement and certain conditions precedent being waived and agreed between the two companies.

Mangalore Chemicals & Fertilizers Ltd has announced the closure of its trading window in accordance with the Company's Code of Conduct and SEBI (Prohibition of Insider Trading) Regulations, 2015. The closure will commence from October 01, 2025, and will continue until 48 hours after the declaration of Unaudited Financial Results for the quarter and half year ending September 30, 2025.

Mangalore Chemicals & Fertilizers Ltd (MCF) has executed a business transfer agreement with Zuari Agro Chemicals Ltd (ZACL) to acquire the Single Super Phosphate (SSP) fertiliser business having an installed capacity of 200,000 TPA. The turnover of the business being acquired was lower at Rs. 47.80 crores in FY 2025 due to lower capacity utilisation. The acquisition is expected to boost the turnover and margins of MCF by enlarging its product basket. The cost of acquisition is INR 72.75 crores.
