Sterling Tools Ltd has announced the closure of its trading window for dealing in the company's securities. This closure is in compliance with SEBI (Prohibition of Insider Trading) Regulations, 2015. The window will be shut from July 1st, 2026, until 48 hours after the declaration of the un-audited standalone and consolidated financial results for the first quarter ending June 30th, 2026. During this period, designated persons and their immediate relatives are prohibited from trading in the company's shares. The date of the board meeting to approve these financial results will be communicated separately.

Anil Aggarwal, Chairman cum Whole Time Director and Promoter of Sterling Tools Limited, has disposed of 10,00,000 equity shares through an off-market inter-se transfer by way of gift to immediate relatives. The disposal represents 2.75% of the total shareholding. Post-transfer, Aggarwal holds 51,10,583 shares, representing 14.06% of the total share capital. Importantly, there is no change in the overall shareholding of the Promoter and Promoter Group.

Aggarwal's pre-disposal holding was 16.81%, which reduced to 14.06% post-transaction, representing a disposal of 2.75% of the total share capital.
